Responsibilities

We currently have a great opportunity available for an Paralegal. Under supervision of an attorney, collaborate with all SAI Affiliate business associates to redline and prepare business and legal documents supporting business and governance processes, including but not limited to distribution authorizations, distribution agreements, non-disclosure agreements, sales and service agreements, purchasing agreements for supplies and equipment, professional services agreements, loan agreements, distribution authorization documents, evaluations, nondisclosure agreements, governance documents like unanimous written consents and any other activities that require legal support. Supporting affiliate business associates and coordinating other support including outside counsel for local country review and translation support. Participate in business process improvement efforts for effective legal operations including matter intake, matter tracking, invoice routing, template creation and key performance indicators for legal support across the company.

 

Essential Duties and Responsibilities:

 

1. Redline, draft and edit affiliate commercial agreements for the Sysmex America Region including but not limited to Sysmex America (SAI), Sysmex Brazil (SBR), Sysmex Colombia (SCO), Sysmex Chile (SCL), Sysmex Mexico (SMX), Sysmex Argentina (SAR), Sysmex Canada (SCI), and Sysmex Reagents (SRA) to comply with local SAI business objectives.
2. Redline, draft and refine template agreements for use by all SAI business associates.
3. Redline draft and refine governance documents and operational agreements for the Sysmex America Region and all affiliates.
4. Assist business and scientific associates in consideration of legal terms and conditions of contracts.
5. Support appropriate execution, filing and retention of agreements for SAI and all affiliates in the Sysmex America Region.
6. Support legal document and operations systems administration including Legal Tracker, Office 365, DocuSign, SharePoint, and other repositories as utilized.
7. Comfortable providing coordination, support and training for legal department meetings, initiatives and specific matters.
8. Support the legal department and all of its members with legal and administrative tasks to include but not limited to matter intake, matter creation, governance documentation, legal hold administration, discovery collection, filing, invoicing, vendor coordination, expense submissions, notarization, apostilling, outside counsel coordination and other legal activities internally and externally.
9. Other projects as assigned.

 

Percentage of Travel: 5%

Physical Demands: Light physical effort.  Routine handling of objects up to 20 pounds; prolonged (at least 50% of time) sitting, standing, keyboard or CRT work.  May require periods of moderate discomfort due to noise, dust, lighting and/or other conditions.

Qualifications

  • Associates degree and 5-7 years’ experience drafting legal documents or a Bachelor’s degree with some document drafting experience.

  • Paralegal certificate desired.

  • Privacy, Compliance or Translator certification desired

  • Notary License desired.

  • Excellent oral and written skills in legal terminology in English.

  • MS Word, Excel, SharePoint, Outlook, Power Point, Office 365.

The salary range for this role is $77,000.00 - $121,000.00. Within this range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. The total compensation package for this position also includes a choice of health care plan (medical, vision, and dental insurance), an annual incentive bonus, paid time off, parental leave, bereavement leave and a 401(K) for all eligible employees.
